Terms of Service

Article 1 (Purpose)

These Terms of Service (the "Terms") are intended to define the rights, duties, and responsibilities of the company (Siwol Media, "Company") and the members, as well as the procedures for using the services provided by the Company (hereinafter referred to as the "Service").

Article 2 (Definitions)

① The terms used in these Terms are defined as follows:

  1. "Service" refers to the digital content, advertising, music, point accumulation, neighboring rights royalty, and other related services provided through the platform operated by the Company.
  2. "Member" refers to a person who enters into a contract with the Company and uses the Service in accordance with these Terms. Members can be either individuals or legal entities and may receive compensation in accordance with the Service usage.
  3. "Non-member" refers to a person who uses the services provided by the Company without registering as a member.
  4. "Settlement amount" refers to the amount paid to the Member from the revenue generated through the use of the Service, as determined by the Company's standards.
  5. "Fraudulent revenue" refers to the settlement amount resulting from a Member's violation of these Terms, operational policies, or applicable laws.
  6. "Point" refers to a virtual reward unit that a Member can accumulate through the use of the Service, which can be converted into cash or used within the Service according to specific conditions.
  7. "Cancel Account" refers to the act of a Member terminating their service agreement with the Company.

② Terms not defined in this Article will follow the relevant laws and general practices.

Article 3 (Posting and Amendment of Terms)

  1. The Company will make these Terms available to Members by posting them on the service screen or website.
  2. The Company may amend these Terms within the bounds of applicable law and will notify Members of any amendments, including the effective date and reasons for changes, at least 7 days in advance.
  3. If a Member does not agree with the amended Terms, they may request for cancellation from the Service. If the Member does not express their disagreement by the effective date of the amended Terms, it will be considered that the Member has agreed to the new Terms.
  4. Matters not specified in these Terms and the interpretation of the Terms will be governed by the relevant laws and customary practices.

Article 4 (Application and Changes to Operational Policies)

  1. The Company may establish separate operational policies for the Service, which will have the same effect as these Terms.
  2. If changes to the operational policies are required, the Company will notify Members in advance and apply them following the same procedure as amending these Terms.

Article 5 (Types and Scope of Services)

  1. The Company provides the following services:
    • Settlement and distribution of Neighboring rights royalty for music
    • Digital content provision
    • Point accumulation and settlement services
    • Other services determined by the Company
  2. Non-members may have restricted access to certain services.

Article 6 (Member Registration and Account Management)

  1. The Service agreement is formed when the Member agrees to these Terms and submits a registration request, which is then approved by the Company.
  2. Members may register content channel information such as YouTube, Instagram, and Facebook for using the Service, and the Company has the right to approve it.
  3. Members are responsible for managing their accounts and may not transfer (resell), share, or lease their account to others.

Article 7 (Settlement and Point Payment, and Revenue Sharing)

  1. The revenue generated by a Member using the Service will be paid to the Member as a settlement amount according to the Company's standards.
  2. The minimum amount for settlement payment is $100, and a transfer fee of $10 applies. If the settlement amount is below the minimum, it will be carried over. The maximum carry-over period is 6 months, after which it will be automatically forfeited.
  3. Points earned by Members will expire 6 months after accumulation and will be automatically forfeited thereafter.
  4. If the Member is not a business entity, the Company may deduct applicable taxes from the settlement amount based on the tax laws of the Member's country (e.g., income tax, VAT). The tax deduction rate and criteria will be determined in accordance with the relevant national tax laws, and the Company will pay the settlement amount after tax deductions. The Company will notify the Member of the tax deductions.
  5. The Company may refuse payment of fraudulent revenue and may recover any amounts that were already paid.
  6. The Company is not responsible for any issues arising from invalid bank account information provided by the Member and will not offer compensation.

Article 8 (Member's Obligations and Prohibited Activities)

  1. Members must comply with relevant laws, these Terms, operational policies, and service guidelines.
  2. Members must not engage in the following activities:
    • Providing false or third-party information
    • Infringing on the copyrights or intellectual property rights of the Company or third parties
    • Using automated methods (scripts, bots, etc.) to adversely affect the Service
    • Engaging in fraudulent activities such as manipulating views or clickbait
    • Including false information or manipulation in advertising campaigns
    • Violating the terms of services of platforms like YouTube, Instagram, etc.
    • Engaging in any other activities that violate laws or Company policies
  3. Members are responsible for securely managing their ID and password, and should immediately notify the Company if their account is stolen or used fraudulently.

Article 9 (Service Restrictions and Member Cancellation)

  1. The Company may restrict a Member's access to the Service if:
    • The Member violates laws or these Terms
    • The Member engages in fraudulent activities related to settlement payments
    • The Member engages in illegal activities such as copyright infringement or defamation
    • The Member violates the operational policies
  2. Members may cancel from the Service at any time. Upon cancellation, any settlement amounts and points may be forfeited.

Article 10 (Notification Methods and Operational Announcements)

  1. The Company may notify Members of important matters related to Service operations via email, SMS, or in-service notifications.
  2. The Company is not responsible for issues arising from the Member's failure to keep their contact information up-to-date.

Article 11 (Indemnification and Limitation of Liability)

  1. If the Company causes damage to a Member due to intentional misconduct or gross negligence, the Company will compensate the Member in accordance with applicable laws.
  2. The Company is not responsible for:
    • Force majeure events, network failures, or other circumstances outside of the Company's control
    • Issues arising from the Member's actions
    • Errors or issues related to third-party services
  3. The Company may temporarily suspend the Service for maintenance or force majeure events. In such cases, the Company will provide prior notice at least 7 days in advance, except in emergency situations where notice may be given afterward. The Company will not be liable for damages resulting from service interruptions, unless caused by intentional misconduct or gross negligence.

Article 12 (Privacy Protection and Data Usage)

  1. The Company may collect data to verify any abnormal activities by the Member, and the data collected will be defined in the operational policies.
  2. The Company will obtain prior consent from Members before collecting and using their personal information. Members may cancel or cancellation their consent to provide personal information at any time.
  3. If the Company needs to provide personal information to a third party, it must notify the Member of the purpose, recipient, and retention period of the information and obtain consent.

Article 13 (Governing Law and Jurisdiction)

  1. These Terms will be governed by the laws of South Korea.
  2. Any disputes arising from these Terms or the use of the Service will be subject to the jurisdiction of the court defined by the Civil Procedure Act of South Korea.

Supplementary Provisions

These Terms will apply from 3 28, 2025.

Any matters not specified in these Terms will be governed by the Company's operational policies and applicable laws.
